Welcome to SwagOnIt. These Terms of Service ("Terms") govern your access to and use of the SwagOnIt platform, including our website at swagonit.com, brand.swagonit.com, mobile applications, and all related services (collectively, the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms.If you do not agree to these Terms, do not use the Platform.SwagOnIt is operated by SwagOnIt, Inc. ("SwagOnIt," "we," "us," or "our").

1. Overview of the PlatformSwagOnIt is a marketplace that connects event creators ("Creators") with brand sponsors ("Brands"). The Platform facilitates discovery, matching, communication, and negotiation of sponsorship opportunities between Creators and Brands. SwagOnIt does not directly participate in, guarantee, or enforce any sponsorship agreements between users.1.1 What SwagOnIt Does

•Provides tools for Creators to list events and seek sponsorships

•Provides tools for Brands to create profiles, define sponsorship preferences, and discover events

•Uses AI-powered matching to suggest compatible Creator-Brand pairings

•Facilitates real-time messaging between Creators and Brands to negotiate sponsorship terms

•Provides administrative tools for platform management

1.2 What SwagOnIt Does Not Do

•SwagOnIt does not process payments. All financial transactions related to sponsorship deals occur outside the Platform, directly between Creators and Brands.

•SwagOnIt does not guarantee any sponsorship outcomes, matches, or deal completions.

•SwagOnIt is not a party to any sponsorship agreement between Creators and Brands.

2. EligibilityTo use the Platform, you must:

•Be at least 18 years of age

•Have the legal capacity to enter into a binding agreement

•Not be prohibited from using the Platform under applicable law

•Provide accurate and complete registration information

•If registering on behalf of a business entity, have the authority to bind that entity to these Terms

3. Account Registration and Security3.1 Account CreationYou may create an account using email-based one-time password ("OTP") authentication or Google OAuth. You are responsible for maintaining the security of your account credentials and the email address or Google account associated with your SwagOnIt account.3.2 Account Types

•Creator Accounts allow users to create event listings, manage creator profiles, and seek brand sponsorships.

•Brand Accounts allow users to manage brand profiles, define sponsorship preferences, and connect with Creators. Brand accounts may be created via invitation from SwagOnIt administrators.

•Admin Accounts are reserved for SwagOnIt personnel to manage and moderate the Platform.

3.3 Account ResponsibilitiesYou agree to:

•Provide accurate, current, and complete information during registration

•Keep your account information up to date

•Not share your account or authentication credentials with third parties

•Notify us immediately of any unauthorized access to your account

•Accept responsibility for all activities that occur under your account

3.4 One Account Per UserEach individual may maintain only one account. Creating multiple accounts to circumvent restrictions, manipulate matching, or for any deceptive purpose is prohibited and may result in termination of all associated accounts.4. Acceptable Use4.1 Permitted UsesYou may use the Platform to:

•Create and manage Creator or Brand profiles

•List events and define sponsorship opportunities

•Browse, discover, and match with potential sponsorship partners

•Communicate with other users through the Platform's messaging features

•Negotiate sponsorship terms in good faith

4.2 Prohibited ConductYou agree not to:

•Provide false, misleading, or fraudulent information in your profile, event listings, or communications

•Impersonate any person or entity, or misrepresent your affiliation with any person or entity

•Use the Platform for any unlawful purpose or in violation of any applicable law or regulation

•Harass, threaten, intimidate, or abuse other users

•Send unsolicited commercial messages, spam, or promotional material through the Platform's messaging features

•Attempt to circumvent, disable, or interfere with any security features of the Platform

•Scrape, crawl, or use automated means to access the Platform or extract data without our written consent

•Interfere with or disrupt the integrity or performance of the Platform

•Post or transmit content that is defamatory, obscene, discriminatory, or otherwise objectionable

•Attempt to reverse engineer, decompile, or disassemble any portion of the Platform

•Use the AI-powered features to manipulate matching algorithms or game the system

•Share brand invitation tokens or links with unauthorized parties

4.3 Content StandardsAll content you post or share on the Platform (including profile information, event descriptions, images, and messages) must:

•Be accurate and not misleading

•Not infringe any third-party intellectual property rights

•Not contain malicious code, viruses, or harmful content

•Comply with all applicable laws and regulations

•Not promote discrimination based on race, gender, religion, nationality, disability, sexual orientation, or age

5. AI-Powered Features5.1 Event MatchingSwagOnIt uses artificial intelligence and machine learning technologies, including text embeddings and vector search, to suggest matches between Creators and Brands. These suggestions are algorithmic recommendations only. We do not guarantee the accuracy, quality, or suitability of any match.5.2 Terms ExtractionThe Platform may use AI to analyze chat conversations between Creators and Brands to extract and summarize proposed sponsorship terms. By using the messaging feature, you acknowledge and consent to this automated analysis. Extracted terms are provided as a convenience and do not constitute a binding agreement.5.3 AI LimitationsAI-powered features are provided "as-is." We make no representations or warranties regarding the accuracy, completeness, or reliability of AI-generated content, match suggestions, or extracted terms. Users are solely responsible for reviewing and verifying any AI-generated outputs before relying on them.6. Sponsorship Transactions6.1 Platform RoleSwagOnIt acts solely as a venue for Creators and Brands to discover, communicate, and negotiate sponsorship opportunities. SwagOnIt is not a party to any sponsorship agreement and has no obligation to enforce, mediate, or resolve disputes arising from sponsorship arrangements between users.6.2 User ResponsibilityAll sponsorship negotiations, agreements, deliverables, payments, and performance obligations are solely between the Creator and the Brand. You are responsible for:

•Conducting your own due diligence on potential sponsorship partners

•Negotiating and documenting sponsorship terms outside the Platform as needed

•Fulfilling any commitments made in connection with a sponsorship arrangement

•Complying with all applicable laws, including advertising disclosure requirements (e.g., FTC guidelines)

6.3 No Financial TransactionsSwagOnIt does not process, facilitate, or guarantee any financial transactions. All payments related to sponsorships occur outside the Platform. SwagOnIt bears no liability for payment disputes, non-payment, or financial losses arising from sponsorship arrangements.7. Intellectual Property7.1 SwagOnIt's Intellectual PropertyThe Platform, including its design, features, functionality, software, text, graphics, logos, and trademarks, is owned by SwagOnIt, Inc. and is protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Platform without our prior written consent.7.2 Your ContentYou retain ownership of all content you submit to the Platform ("User Content"), including profile information, event descriptions, images, and messages. By submitting User Content, you grant SwagOnIt a non-exclusive, worldwide, royalty-free, sublicensable license to use, display, reproduce, and distribute your User Content solely for the purpose of operating and providing the Platform.This license continues for as long as your User Content remains on the Platform and terminates when you delete your User Content or your account, except to the extent your User Content has been shared with other users through the normal operation of the Platform.7.3 FeedbackAny feedback, suggestions, or ideas you provide about the Platform may be used by SwagOnIt without restriction or compensation.8. PrivacyYour use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, and share your personal information. By using the Platform, you consent to our data practices as described in the Privacy Policy.9. Third-Party ServicesThe Platform integrates with third-party services to provide functionality. These include, but are not limited to:

•Google (authentication and mapping services)

•Amazon Web Services (file storage and content delivery)

•AI service providers (matching algorithms and content analysis)

•Email delivery services (account verification and notifications)

•Scheduling services (onboarding call booking)

Your use of these third-party services is subject to their respective terms and privacy policies. SwagOnIt is not responsible for the practices or content of any third-party services.10. Disclaimers10.1 "As-Is" BasisTHE PLATFORM IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, SWAGONIT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.10.2 No GuaranteesSwagOnIt does not warrant that:

•The Platform will be uninterrupted, secure, or error-free

•Any match suggestions will result in successful sponsorships

•The information provided by other users is accurate or reliable

•Any defects in the Platform will be corrected

•The Platform will meet your specific requirements

10.3 User InteractionsSwagOnIt does not screen, verify, or endorse any user, Creator, Brand, event, or sponsorship opportunity listed on the Platform. You interact with other users at your own risk.11. Limitation of LiabilityTO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SWAGONIT, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH:

•Your use of or inability to use the Platform

•Any sponsorship arrangement or transaction between users

•Any conduct or content of any user or third party on the Platform

•Unauthorized access, use, or alteration of your content or data

•Any AI-generated content, match suggestions, or terms extraction

IN NO EVENT SHALL SWAGONIT'S TOTAL LIABILITY TO YOU EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100) OR THE AMOUNT YOU HAVE PAID TO SWAGONIT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.12. IndemnificationYou agree to indemnify, defend, and hold harmless SwagOnIt and its officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to:

•Your use of the Platform

•Your violation of these Terms

•Your violation of any rights of any third party

•Your User Content

•Any sponsorship arrangement or transaction you enter into through the Platform

13. Termination13.1 By YouYou may terminate your account at any time by contacting us at support@swagonit.com or through your account settings. Upon termination, your right to use the Platform will cease immediately.13.2 By SwagOnItWe may suspend or terminate your account at any time, with or without cause and with or without notice, if we believe:

•You have violated these Terms

•Your conduct may harm SwagOnIt, other users, or third parties

•Your account has been inactive for an extended period

•Continued provision of the Platform to you is no longer commercially viable

13.3 Effect of TerminationUpon termination:

•Your license to use the Platform is revoked

•We may delete your account data in accordance with our Privacy Policy

•Provisions of these Terms that by their nature should survive termination will survive, including Sections 6, 7, 10, 11, 12, and 15

14. Modifications to the TermsWe may update these Terms from time to time. When we make material changes, we will:

•Update the "Last Updated" date at the top of this page

•Notify you via email or through the Platform

•Provide a reasonable period for you to review the changes

Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Platform and close your account.15. Governing Law and Dispute Resolution15.1 Governing LawThese Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.15.2 Dispute ResolutionAny dispute arising from or relating to these Terms or the Platform shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue resolution through binding arbitration in accordance with the rules of the American Arbitration Association, to be conducted in English.15.3 Class Action WaiverTO THE FULLEST EXTENT PERMITTED BY LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.16. General Provisions16.1 Entire AgreementThese Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and SwagOnIt regarding the Platform.16.2 SeverabilityIf any provision of these Terms is held to be unenforceable, the remaining provisions shall remain in full force and effect.16.3 WaiverOur failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.16.4 AssignmentYou may not assign your rights or obligations under these Terms without our prior written consent. SwagOnIt may assign its rights and obligations without restriction.16.5 Force MajeureSwagOnIt shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, war, terrorism, pandemics, natural disasters, government actions, or failures of third-party services.17.
